We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors. JUDSON COMPANY, LLC SPECIFICALLY DISCLAIMS ANY AND ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. Judson Company, LLC takes no responsibility and assumes no liability for any User Content that you or any other user or third party posts or transmits using our service. You understand and agree that you may be exposed to User Content that is inaccurate, objectionable, inappropriate for children, or otherwise unsuited to your purpose.		More simply put: Unfortunately, people can post bad stuff on user generated content areas of our site. We take that kind of thing seriously but you still might run into it before we have a chance to take it down.

10. Governing Law and Jurisdiction These Terms shall be governed by the laws of the State of Alabama, without respect to its conflict of laws principles. We each agree to submit to the personal jurisdiction of a state court located in Morgan County, Alabama or the United States District Court for the Northern District of Alabama. 12. Judson Direct These terms only apply if you are, or become, a member of our Direct Program. a. Payment Processing Payment processing services for sellers on Judson Direct are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these terms or continuing to operate as a seller on Judson Direct, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Judson Direct enabling payment processing services through Stripe, you agree to provide Judson Direct accurate and complete information about you and your business, and you authorize Judson Direct to share it and transaction information related to your use of the payment processing services provided by Stripe.		More simply put: If you are part of our Direct program, you must agree to our payment partner's terms so we can pay you.
b. Sales tax collection services We will collect sales and use taxes and other transaction-based charges supported by the functionality we make available for transactions through the Judson direct webstore based on your collection settings and any related information we request. We will remit to you the amounts we collect through the tax collection services according to the schedule on which we remit funds for your Judson direct webstore transactions. You agree to accept the amounts we remit to you as full satisfaction of our obligations in connection with the tax collection services. You are solely responsible for your use of the tax collection services, including collection settings and all related information, and for documenting and paying all taxes to the appropriate taxing authorities for your transactions. We disclaim all responsibility for your use of the tax collection services. Except to the extent We make specific services available to you: (i) We doe not calculate or collect any product-based excise taxes or any fees or surcharges; (ii) We doe not provide support for sales or use tax exemptions based upon the identity of any individual, corporation or other entity, or the intended use of a product by any individual, corporation or other entity; and (iii) you are solely responsible for any non-U.S. taxes and duties (including their collection and payment).		More simply put: We try to be as accurate as possible, but it is ultimately your responsibility to ensure all sales taxes are correctly reported and paid.
b. Terminology Unless otherwise noted, the 'Profit' earned on an order placed through a Judson direct webstore is based on the 'Wholesale' price listed on our online store, and does not take into account any discounts a product may be eligible for, including but not limited to our volume pricing discount and Daily Deal discount. Any monies collected for the costs including, but not limited to, shipping and handling, and sales taxes are not included when calculating the profit.		More simply put: Profit on a Judson direct order is simply the amount charged on products above our regular wholesale pricing.
